Overview

This website and all related services are operated by Genventro LLC. These Terms & Conditions (the “Terms”) govern your access to and use of genventro.com (the “Site”) and any interaction with us, including purchases of products and services through the Site (collectively, the “Services”).

By accessing the Site, creating an account, submitting information, or placing an order, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Site.

1. Introduction and Acceptance

This Site is owned and operated by Genventro LLC. These Terms apply to all visitors, customers, and others who access or use the Services.

We may update these Terms from time to time by posting a revised version on the Site. Changes apply prospectively. The version in effect at the time you place an order generally governs that transaction.

2. Eligibility and Authority

By using the Services, you represent and warrant that:

you are 18 years of age or older (or the age of majority where you live);
you have legal capacity to enter binding contracts;
any information you submit is accurate and not misleading; and
you are not prohibited by law from using the Services or engaging in commerce.

We reserve the right to deny or revoke access to the Services at any time for any lawful reason.

3. Account Creation and Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access or suspected security breach.

We are not liable for losses resulting from compromised credentials caused by your failure to safeguard account access.

Because the Services are hosted by Shopify, Shopify may also collect and process information about your access to and use of the Services in order to provide and improve Shopify’s services. Certain personal information may be subject to Shopify’s privacy practices as applicable.

5. No Investment, Legal, or Tax Advice

Any informational content on the Services is provided for general informational purposes only. We do not provide investment, legal, or tax advice. You are solely responsible for evaluating and deciding whether any purchase is appropriate for you.

6. Site Availability; Modifications

We may modify, suspend, or discontinue any portion of the Services at any time, temporarily or permanently, with or without notice. We do not guarantee uninterrupted availability, error-free operation, or compatibility with all devices or browsers.

7. Our Products (Descriptions, Appearance, Availability)

We have made every effort to display products and services accurately. However:

colors and appearance may vary due to screen/device settings;
product photos may be representative; packaging or minor variations may occur;
product descriptions and availability may change at any time without notice.

We reserve the right to discontinue products at any time and to limit quantities offered to any person, household, geographic region, or jurisdiction on a case-by-case basis.

8. Pricing, Promotions, and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for a product is the price in effect at the time the order is placed and shown at checkout and/or in the order confirmation.

Unless expressly stated, posted prices do not include taxes, shipping, handling, customs, or import charges.

We may offer promotions governed by separate terms. If promotion terms conflict with these Terms, the promotion terms control.

You agree to provide current, complete, and accurate purchase and account information and to promptly update your information (including email address and payment details) so that we can complete transactions and contact you as needed.

You represent and warrant that:
(i) the payment information you provide is true, correct, and complete;
(ii) you are authorized to use the payment method;
(iii) charges will be honored by your payment provider; and
(iv) you will pay all charges incurred, including applicable taxes and fees.

9. Errors, Inaccuracies, and Omissions

Occasionally there may be information on or in the Services containing typographical errors, inaccuracies, or omissions (including relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability). We reserve the right to correct any such issues and to cancel orders if any information is inaccurate at any time, including after an order has been submitted.

If we cancel after payment has been captured, we will issue a refund to the original payment method unless required otherwise by law.

10. Orders (Offer, Acceptance, Verification, Refusal)

When you place an order, you are making an offer to purchase. We may accept or decline your order at our discretion. Your order is not accepted until we confirm acceptance, which may be communicated by order confirmation, fulfillment, shipment confirmation, or other notice.

We may refuse, cancel, delay, or restrict any order we believe may involve fraud, coercion, policy violations, or operational issues. We may request additional verification (including identity verification) before accepting or fulfilling an order. If you refuse verification, we may cancel the order.

Please review your order carefully before submitting. We may be unable to accommodate cancellation requests after acceptance.

11. Shipping and Delivery; Risk of Loss

Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, weather, or events outside our control.

Title and risk of loss pass to you upon our transfer of the products to the carrier, except where otherwise required by law. You are responsible for providing a complete and accurate shipping address.

If packages are returned due to incorrect address, refusal, or failure to receive, reshipment may require additional fees and processing time.

12. Refunds, Returns, and Exchanges

Your purchases are subject to return, refund, or exchange solely in accordance with our Refund Policy: REFUND/RETURN POLICY.

We reserve the right to deny returns, refunds, or exchanges that do not comply with the Refund Policy, including returns that appear used, altered, damaged, incomplete, or inconsistent with policy conditions.

Approved refunds are issued to the original payment method unless required otherwise by law.

13. Chargebacks, Payment Disputes, and Fraudulent Claims

You agree to contact us first to attempt resolution of any issue. Initiating a chargeback or payment dispute as a substitute for contacting us or following our Refund Policy may be considered a breach of these Terms to the fullest extent permitted by law.

We reserve the right to:

contest improper or bad-faith disputes;
submit evidence including order confirmations, delivery records, communications, and fraud-prevention logs;
suspend or terminate accounts associated with dispute abuse or fraud.

Where permitted by law, you agree you are responsible for fees and costs we incur due to improper chargebacks, including dispute fees assessed by processors and reasonable costs of collection and enforcement.

14. Feedback and User Content

If you submit reviews, suggestions, ideas, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that you own or have the necessary rights to submit Feedback and that it does not violate law or third-party rights.

We may remove Feedback in our sole discretion.

15. Prohibited Uses

You may use the Services for lawful purposes only. You agree not to use the Services:

for unlawful, fraudulent, or malicious purposes;
to violate laws or regulations;
to infringe intellectual property rights;
to harass, threaten, defame, intimidate, or harm others;
to transmit false or misleading information;
to send spam or malicious code;
to scrape, crawl, or interfere with security features.

We may suspend, disable, or terminate access for violations.

16. Intellectual Property

All Site content and materials are owned by or licensed to Genventro LLC and protected by applicable laws. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written consent.

17. Relationship With Shopify

Genventro is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Genventro LLC.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Genventro, including any injury, damage, or loss resulting from purchased products or services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Genventro.

18. Disclaimer of Warranties

The information presented on or through the Services is made available solely for general information purposes. Any reliance you place on such information is strictly at your own risk.

EXCEPT AS EXPRESSLY STATED BY GENVENTRO, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Some jurisdictions limit or do not allow certain disclaimers; in that case, disclaimers apply to the fullest extent permitted by law.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENVENTRO, ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS (OR SHOPIFY AND ITS AFFILIATES) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

Where required by law, liability limitations will apply to the maximum extent permitted.

20. Indemnification

You agree to indemnify, defend, and hold harmless Genventro, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, claims, and expenses (including reasonable attorneys’ fees) arising out of:
(1) your breach of these Terms or documents incorporated by reference;
(2) your violation of law or third-party rights; or
(3) your access to or use of the Services.

We may control the defense and settlement of an indemnified claim at your expense, but will not settle a claim imposing non-monetary obligations on you without your consent (not unreasonably withheld).

21. Termination; Survival

We may terminate these Terms or your access to the Services in our sole discretion at any time without notice. You remain liable for all amounts due up to and including the date of termination.

Provisions that by their nature should survive termination shall survive, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any payment-related obligations.

22. Severability; Waiver; Entire Agreement

If any provision is held unlawful, void, or unenforceable, it shall be enforced to the fullest extent permitted, and the remainder will remain valid.

Our failure to enforce any right or provision is not a waiver.

These Terms, together with policies and operating rules posted by us on the Site (including the Refund Policy and Privacy Policy), constitute the entire agreement between you and us regarding the Services.

23. Assignment

You may not assign your rights or obligations without our prior written consent. We may assign these Terms without notice.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

You agree that any dispute arising out of or relating to the Services shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction and venue there.

You can review the most current version of these Terms at any time on this page. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
